Microsoft and OpenAI announced a new agreement on Tuesday that reshapes their partnership and could pave the way for OpenAI to become publicly traded. The deal values Microsoft’s stake in the ChatGPT maker at approximately $135 billion.

Under the new terms, Microsoft will hold about 27% ownership in OpenAI Group PBC on an as-converted diluted basis. This stake represents ownership across all groups including employees, investors, and the OpenAI Foundation. Microsoft shares jumped 4% following the announcement.

The agreement allows OpenAI to restructure itself into a public benefit corporation. This change in corporate structure could enable the AI startup to pursue a public listing in the future. The deal follows months of negotiations between the two companies.

OpenAI has committed to purchasing $250 billion in Azure cloud computing services from Microsoft. However, Microsoft will no longer maintain its previous right of first refusal to provide computing services to OpenAI. This change gives OpenAI more flexibility in choosing its compute providers.

Extended Intellectual Property Rights

Microsoft’s intellectual property rights to OpenAI’s products and models have been extended through 2032. Previously, these rights were set to expire in 2030 or when OpenAI achieved artificial general intelligence (AGI). The new agreement changes this arrangement.

Under the updated terms, Microsoft’s product and model rights will continue through 2032 regardless of AGI achievement. These rights will now include models developed after AGI is reached, with appropriate safety measures in place. An independent expert panel will verify any declaration by OpenAI that it has achieved AGI.

Increased Partnership Flexibility

The restructured agreement provides both companies with greater operational flexibility. OpenAI can now jointly develop products with third-party partners without restrictions. The company can also provide API access to U.S. government national security customers regardless of which cloud provider they use.

Microsoft gains new abilities under the revised agreement. The company can now independently pursue AGI development on its own or with other partners. This removes previous limitations that tied Microsoft exclusively to OpenAI for AGI work.

Microsoft remains OpenAI’s exclusive frontier model partner under the new deal. The partnership that began in 2019 continues with modified terms that reflect the changing needs of both organizations. The agreement addresses concerns about exclusivity while maintaining the core relationship between the companies.

The $135 billion valuation of Microsoft’s stake reflects OpenAI’s growth since the partnership began. The deal comes as both companies continue to invest heavily in artificial intelligence development and applications.
