BNC Stock Surges as Its BNB Treasury Returns to Focus

BNC stock closed at $5.25 on September 8 after rising 50.43% in one session. Trading volume reached approximately 69.1 million shares, compared with fewer than 620,000 shares in the previous session.

The move placed CEA Industries, which trades under the ticker BNC, back in the spotlight as the largest publicly traded corporate holder focused specifically on BNB. However, the rally did not follow a new company announcement or a comparable one-day increase in BNB.

Instead, BNC appears to have attracted a mixture of treasury-value speculation, tokenized-stock attention and short-term momentum trading. Investors therefore need to separate three different assets: BNC shares, the company’s BNB holdings and external on-chain tokens using the BNC name.

BNC Holds More Than Half a Million BNB

CEA Industries changed its stock ticker from VAPE to BNC in August 2025 after raising $500 million and adopting a BNB-focused digital asset treasury strategy.

According to its latest annual results, the company held 515,544 BNB as of April 30, 2026. This included 487,956 unrestricted BNB and 27,588 restricted BNB. The restricted portion was subsequently pledged as collateral for a $10 million loan.

The reported cost of those holdings was approximately $446.5 million. Their fair value had fallen to $317.3 million by the end of April, resulting in a substantial unrealized loss.

BNB has since recovered. At a BNB/USDT market on MEXC, 515,544 BNB would have an indicative value of about $382.7 million. This is only an estimate based on the last disclosed token count. BNC does not publish daily treasury balances, and the company could make transactions between reporting dates.

BNC also retains smaller operating businesses, including retail vaping operations. It is therefore a public operating company with a crypto treasury, not a passive BNB fund.

The 50% Rally Was Not Simply a BNB Price Move

BNC’s September 8 rally was much larger than the corresponding change in BNB. The stock closed 50.43% higher, while BNB itself did not record a similar move.

Market attention instead centered on the launch of an external BNB Chain product called BNC4. The product was presented as an on-chain asset supported by BNC shares on a one-token-to-one-share basis. A related Meme coin also attracted heavy speculative trading.

That activity may have introduced a feedback loop. Interest in the on-chain product directed attention toward the underlying BNC stock, while the stock’s rise generated more discussion around related BNB Chain tokens.

There is an important distinction: BNC4 is not the same asset as BNC stock, and neither should be confused with BNB. BNC is a regulated public equity. BNB is the company’s main treasury asset. BNC4 is an externally issued on-chain product.

No company filing reviewed through September 4 disclosed a commercial agreement, revenue-sharing arrangement or official partnership between CEA Industries and the issuer of BNC4. The product may influence market attention, but investors should not automatically treat it as a new source of revenue for BNC.

BNC’s Treasury Looks Larger Than Its Equity Value

Using the 41.26 million common shares reported as outstanding on June 15 and the September 8 closing price of $5.25, BNC’s implied equity value was approximately $217 million.

That was below the estimated market value of its disclosed BNB holdings at current prices. On the surface, this can make BNC appear to trade at a large discount to its crypto treasury.

The calculation is not as simple as dividing the BNB portfolio by the common share count. BNC has warrants and other securities that may increase the diluted share count. It also has liabilities, operating expenses, management costs and a legacy business that can add or consume value.

The company’s annual filing specifically warns that BNC is not designed to track BNB like a spot exchange-traded product. There is no creation-and-redemption mechanism forcing the share price to stay close to the value of the underlying treasury.

A discount can therefore persist. It can also narrow suddenly when speculative demand returns, which helps explain why BNC shares can rise much faster than BNB on a single day.

Headline Earnings Do Not Measure the Core Business

BNC reported fiscal 2026 net income of $115.2 million, but that figure was mainly driven by a $282.9 million non-cash gain related to changes in the accounting value of warrant liabilities.

The company also recognized a $130.3 million unrealized loss on digital assets and approximately $7.9 million of income from BNB ecosystem airdrops.

This means the reported profit should not be interpreted as $115.2 million generated from ordinary operations. BNC’s earnings can move sharply because accounting rules revalue both its crypto holdings and warrant liabilities.

For investors, the more useful measurements are the number of BNB held, the fully diluted share count, net liabilities, treasury expenses and the amount of BNB represented by each diluted share.

The Real BNC Investment Question Is Per-Share BNB Exposure

MEXC’s view is that the total number of BNB held by BNC is less important than whether the company can maintain or increase BNB exposure per fully diluted share.

If BNC issues new shares and uses the proceeds to purchase BNB at an attractive price, the strategy could add value. If the share count grows faster than the treasury, existing investors may own a smaller portion of the BNB portfolio even while the company announces a higher total token balance.

Governance also affects the discount. BNC has been involved in disputes over its external asset-management agreement, including the size and duration of management fees. The company has also disclosed weaknesses in its financial-reporting controls and previously corrected earnings-per-share calculations.

These issues help explain why a stock can trade below the estimated value of its crypto assets. The market is not only pricing BNB; it is also pricing the cost and reliability of the corporate structure holding it.

What Could Move BNC Stock Next?

The bullish scenario depends on several conditions working together. If BNB rises, BNC preserves its token holdings and the diluted share count remains controlled, the value of the company’s treasury exposure could increase. Improved governance or lower asset-management costs could also reduce the discount applied to the stock.

The bearish scenario begins if BNB falls, treasury expenses rise or new share issuance dilutes existing investors without producing a sufficient increase in BNB per share. A reversal in the recent tokenized-stock narrative could also remove some of the speculative demand behind the latest rally.

Short-term traders should watch whether BNC can retain meaningful trading activity after the one-day volume surge. Longer-term investors should focus on the next treasury disclosure rather than assuming the April token balance remains unchanged.
