CGI announces details for its Annual General Meeting of Shareholders and release of Fiscal 2026 first quarter results

MONTRÉAL, Jan. 21, 2026 /PRNewswire/ – CGI (TSX: GIB.A) (NYSE: GIB) will host its Annual General Meeting of Shareholders (the “Meeting”) and release its Fiscal 2026 first quarter results on Wednesday, January 28, 2026. The Meeting will be held at 11:00 a.m. (EST) via live webcast at https://www.icastpro.ca/ukd54d (Password: CGI2025). Shareholders will have the opportunity to participate in real time and vote at the Meeting online in the manner set forth in CGI’s Management Proxy Circular, through a web-based platform, regardless of their geographic location.

Only CGI shareholders of record at the close of business on Monday, December 1, 2025, and duly appointed proxyholders (including non-registered beneficial shareholders who have duly appointed themselves as proxyholders), will be entitled to vote on matters considered at the Meeting. CGI uses the Notice and Access rules adopted by the Canadian Securities Administrators. On December 17, 2025, a Notice of Meeting was mailed to shareholders with instructions for accessing the material distributed for the Annual General Meeting of Shareholders online. The 2025 Management Proxy Circular and Fiscal 2025 Results were also mailed to shareholders who had requested it. These documents are also available on CGI’s website.

In addition, CGI will release its Fiscal 2026 first quarter results on Wednesday, January 28, 2026, before markets open, and hold its first quarter conference call at 9:00 a.m. (EST) on that day. During the call, François Boulanger, President and Chief Executive Officer, and Steve Perron, Executive Vice-President and Chief Financial Officer, will discuss CGI’s results for the first quarter of Fiscal 2026 ended December 31, 2025. Despite having grown to become Bitcoin’s most successful layer-2 scaling solution, with instant and low-fee payments, Lightning’s scale is limited by its reliance on payment channels. Although Lightning shifts most transactions off-chain, each payment channel still requires an on-chain transaction to open and (usually) another to close. As adoption grows, pressure on the blockchain grows with it. The need for a more scalable approach to managing channels is clear. Channel factories were supposed to meet this need, but where are they? In 2025, subnetworks are emerging that revive the impetus of channel factories with some new details that vastly increase their potential. They are natively interoperable with Lightning and achieve greater scale by allowing a group of participants to open a shared multisig UTXO and create multiple bilateral channels, which reduces the number of on-chain transactions and improves capital efficiency. Achieving greater scale by reducing complexity, Ark and Spark perform the same function as traditional channel factories with new designs and additional capabilities based on shared UTXOs.  Channel Factories 101 Channel factories have been around since the inception of Lightning. A factory is a multiparty contract where multiple users (not just two, as in a Dryja-Poon channel) cooperatively lock funds in a single multisig UTXO.
