Republic Europe launched a Special Purpose Vehicle on January 26, 2026, granting indirect equity access to Kraken for retail investors in Europe ahead of its 2026 IPO.

This initiative can broaden retail investment access in private markets, drawing attention as it is potentially pivotal for tech investments.

Republic Europe Launches Kraken Pre-IPO Investment Vehicle

Republic Europe introduced a Special Purpose Vehicle allowing retail investors to access Kraken’s pre-IPO equity. The platform focuses on democratizing investment opportunities, highlighting high-growth access.

The initiative is a collaboration with Kraken, a prominent crypto exchange. Kraken’s substantial financials include $1.6 billion revenue in 2024, marking a 138% year-on-year growth and a valuation of approximately $20 billion.

Retail Investors Gain Access to Crypto Equity

European retail investors now have an entry point into the crypto market through this SPV, which pools capital for indirect stakes. This expands public access to lucrative private opportunities.

Though secondary markets are influenced, the main focus is on equity, not direct cryptocurrency effects, with no regulatory policy changes noted.

SPVs in Crypto: A European Market First

Special Purpose Vehicles in private equity are established but less common in crypto, presenting a unique scenario in European markets for pre-IPO exposure.

Future outcomes hinge on Kraken’s market performance, with potential benefits for SPV investors tied to the planned IPO. Retail participation stands to grow if successful.

BitGo, a digital asset infrastructure company with more than $100 billion in assets under custody, has received an extension of its license from Germany’s Federal Financial Supervisory Authority (BaFin), enabling it to offer crypto services to European investors. The company said its local subsidiary, BitGo Europe, can now provide custody, staking, transfer, and trading services. Institutional clients will also have access to an over-the-counter (OTC) trading desk and multiple liquidity venues. The extension builds on BitGo’s previous Markets-in-Crypto-Assets (MiCA) license, also issued by BaFIN, and adds trading to the existing custody, transfer and staking services. BitGo acquired its initial MiCA license in May 2025, which allowed it to offer certain services to traditional institutions and crypto native companies in the European Union.Read more
