Tesla board says it is prepared to name a new CEO if Elon Musk leaves for $1T pay rejection

Tesla is preparing for the possibility of Elon Musk stepping back from the company if shareholders vote against his proposed $1 trillion pay package at the upcoming annual meeting, according to an interview with Robyn Denholm, the chair of the board, reported by Bloomberg.

Robyn said that if Elon Musk leaves or becomes less involved, Tesla is ready to name a new chief executive from inside the company to ensure what she described as an “orderly transition.”

She said internal succession is the most likely path, though the board is not fully ruling out candidates from outside.

Elon Musk’s compensation plan would give him about 25% voting control if he achieves major growth milestones linked to Tesla’s market value, including expansion in electric cars, robotics, and the robotaxi program.

Elon Musk has made it clear that if he does not receive the compensation structure he wants, he may shift more of his time toward his other companies, including SpaceX and xAI. Robyn said:

Robyn emphasized that the pay plan is tied to performance expectations, not simply a payout.The shareholder vote will take place at Tesla’s annual meeting on November 6.

said the outcome is not guaranteed because many investors wait until the last minute to cast their votes.About 30% of Tesla’s shareholders are retail holders, which is unusually high, so the board has been making direct efforts to encourage them to vote.

Robyn and other board members, including James Murdoch and former Chipotle CFO Jack Hartung, have been meeting with some of the largest institutional shareholders, including Vanguard Group, BlackRock Inc., and State Street Corp. Many investors often follow recommendations from proxy advisory firms.

Two of the largest, ISS and Glass Lewis, have recommended voting against the compensation plan. Robyn said:

As part of the effort to encourage voting, Tesla placed its Optimus humanoid robot outside the Nasdaq building in New York.

The robot handed out Tesla-branded gummy candies, waved at people, and posed for pictures as crowds gathered. Videos were taken and shared widely online.

Succession planning and future business decisions

Tesla shares rose 2.9% at midday in New York, and the stock is up 12% this year, compared to a 17% increase in the S&P 500 Index.

Earlier this year, the company’s stock was affected by concerns over an aging vehicle lineup and public reactions to Elon Musk’s political activity.

The board believes that Elon Musk’s continued engagement is tied to Tesla’s artificial intelligence development and its future products.

If the proposal does not get enough support, Tesla has what Robyn described as Plan B. She said Tesla has a strong internal leadership group. One key figure is Tom Zhu, who oversees global production and operations in China.

Tom has worked across multiple divisions in Tesla, a deliberate move to ensure internal candidates understand the company deeply. Robyn said Tesla has “a whole range of different alternatives out there,” including the possibility of splitting leadership roles among more than one person.

Another item in the upcoming meeting is a nonbinding vote on whether Tesla should invest in xAI, Elon Musk’s artificial intelligence company.

Robyn said, “We haven’t invested in it” because the technology being built at xAI is different from what Tesla focuses on.

However, Robyn added that if shareholders approve the idea, it would start a review process to evaluate the related-party transaction before any investment happens.

The approval marks the US’s first diversified, multi-crypto ETP, signaling a shift toward broader portfolio products rather than single-asset ETFs. Bloomberg’s Eric Balchunas explained that around 12–15 cryptocurrencies now qualify for spot ETF consideration. However, this is contingent on the altcoins having established futures trading on Coinbase Derivatives for at least six months. This includes well-known altcoins like Dogecoin (DOGE), Litecoin (LTC), and Chainlink (LINK), alongside the majors already included in Grayscale’s GDLC. Altcoins in the Spotlight Amid New Era of ETF Eligibility Several assets have already met the key condition, regulated futures trading on Coinbase. For example, Solana futures launched in February 2024, making the token eligible as of August 19. “The SEC approved generic ETF listing standards. Assets with a regulated futures contract trading for 6 months qualify for a spot ETF. Solana met this criterion on Aug 19, 6 months after SOL futures launched on Coinbase Derivatives,” SolanaFloor indicated. Crypto investors and communities also identified which tokens stand to gain. Chainlink community liaison Zach Rynes highlighted that LINK could soon see its own ETF. He noted that both Bitwise and Grayscale have already filed applications. Meanwhile, the Litecoin Foundation indicated that the new standards provide the regulatory framework for LTC to be listed on US exchanges. Hedera is also in the spotlight, with digital asset investor Mark anticipating an HBAR ETF. Market observers see the decision as a potential turning point for broader adoption, bringing the much-needed clarity and accessibility for investors. At the same time, it boosts confidence in the market’s maturity. The general sentiment is that with the SEC’s approval, the next phase of crypto ETFs is no longer a question of ‘if,’ but ‘when.’ The shift to generic listing standards could expand the US-listed digital asset ETFs roster beyond Bitcoin and Ethereum. Such a move would usher in new investment vehicles covering a dozen or more altcoins. This represents the clearest path yet toward mainstream, regulated access to diversified crypto exposure. Volgens Mintzberg gaat het product in eerste instantie bestaan uit een mix van de grootste digitale valuta’s, waaronder Bitcoin (BTC), Ethereum (ETH), Ripple (XRP), Solana (SOL) en Cardano (ADA). Vooralsnog is het onduidelijk wat precies de weging wordt tussen de verschillende large caps binnen de ETF. Of Grayscale over de levensduur van het fonds de weging en munt selectie kan veranderen is ook nog niet duidelijk. Nieuwe standaard voor crypto ETF’s De goedkeuring van GDLC kan een precedent scheppen. Zo kan er een multi-asset standaard ontstaan voor crypto ETF’s, wat betekent dat we in de toekomst een tal van creatieve combinaties kunnen zien op de beurs. Denk bijvoorbeeld aan ETF’s die zich puur focussen op Decentralized Finance (DeFi) leiders in de crypto markt of zelfs memecoin fondsen. Waar de SEC onlangs nog een beslissing over een XRP Spot ETF uitstelde, lijkt de houding van de toezichthouder duidelijk te veranderen. ETF expert Nate Geraci benadrukt deze koerswijziging: twee jaar geleden vocht de SEC nog een harde juridische strijd met Grayscale uit over een spot Bitcoin ETF, nu wordt juist een generiek raamwerk voor crypto ETF’s omarmd. Verschillende altcoins, van XRP, ADA tot zelfs Dogecoin (DOGE), wachten op hun eerste goedkeuring. Met de introductie van dit eerste large-cap fonds lijkt bredere SEC acceptatie dan ook slechts een kwestie van tijd. Directe impact op altcoin koersen Voor institutionele partijen verlaagt het nieuwe fonds de drempel om in crypto te stappen, zonder de complexiteit van munt selectie en wallet beheer. Zo klommen SOL en ADA over de afgelopen 24 uur met respectievelijk 3,4% en 3,2% waardoor de solana koers dicht bij de grens van $245 komt. De cardano prijs heeft de significante weerstand van $0,90 doorbroken. Opvallend genoeg bleef de bitcoin koers neutraal, de ETH prijs klom minder hard dan andere altcoins met een groei van 1,1%.
