Nuburu Inc shares climbed 25% in premarket trading Wednesday after the company revealed plans for a new joint venture in the drone defense sector.

The blue-laser technology company signed a Strategic Framework Agreement with Nuburu Defense LLC and Maddox Defense Incorporated. The partnership will create a new entity controlled by Nuburu Defense.

The joint venture will focus on developing, manufacturing, and deploying drone systems. These systems target both military and commercial customers.

The partners estimate the NATO UAV defense market at roughly $7 billion to $10.3 billion per year. This represents the total addressable market for their planned products.

The JV Company expects to reach about $100 million in annual revenue by the end of 2028. Cumulative revenue across 2026 through 2028 is projected at approximately $165 million.

Financial Terms and Capital Commitments

Nuburu Defense will contribute up to $10 million in capital funding to the venture. Maddox Defense Incorporated will bring eligible assets, intellectual property, and personnel to the partnership.

Equity ownership will be allocated based on the assessed value of each party’s contributions. Nuburu Defense will maintain controlling interest in the joint venture.

The parties plan to finalize a definitive Joint Venture Agreement by December 15, 2025. The JV Company will be established under Italian law.

The venture will operate as a European-based manufacturing and research hub. This location allows the company to serve NATO and allied customers more effectively.

Manufacturing Capabilities and Technology Integration

The joint venture will use rapid-manufacturing pods for production. These mobile units feature polymer and metal 3D printing capabilities.

The pods enable on-demand UAV assembly and reconfiguration near operational zones. This approach reduces logistics requirements and speeds deployment.

The manufacturing process incorporates modular avionics and scalable commercial components. All systems will comply with applicable export-control laws.

The collaboration integrates complementary technologies from both partners. Maddox Defense brings combat-tested UAV engineering experience.

Their engineering team includes veterans from Special Forces and intelligence backgrounds. These individuals have direct experience supporting allied operations.

Nuburu contributes its proprietary blue-laser technology to the partnership. The venture will also leverage the Orbit operational-resilience system that Nuburu recently acquired.

Alessandro Zamboni, Executive Chairman and Co-CEO of Nuburu, stated the framework agreement represents another step in the company’s expansion across defense and commercial sectors. He pointed to the combination of blue-laser innovation and Maddox Defense’s UAV design experience.

Jason Maddox, Founder of Maddox Defense Incorporated, highlighted his team’s combat-tested innovation and design intelligence. He noted the partnership creates a platform for global defense and security applications.

Export Controls and Compliance Framework

All technologies and systems will comply with U.S., EU, and NATO export-control laws. No transfer of U.S.-controlled defense technology or classified data is planned.

U.S.-origin technical information remains subject to ITAR and EAR regulations. The venture maintains full U.S. export-control compliance throughout operations.

The JV Company will serve NATO-authorized programs and allied nations only. This ensures responsible deployment of defense technologies to authorized partners.

In addition to military applications, the 2026-2028 business plan includes commercial and civil-sector drone deployment. This strategy builds on synergies with Nuburu’s blue-laser platform and the Orbit system.

The Strategic Framework Agreement includes a period of mutual exclusivity during negotiation and execution of the final Joint Venture Agreement. A joint Board of Directors will include representatives from both Nuburu Defense and Maddox Defense Incorporated.
