Varias empresas de criptomonedas planean vender tokens vinculados a acciones cotizadas a inversionistas minoristas que desean obtener exposición a las acciones sin poseerlas directamente. Sin embargo, para vender estos productos en Estados Unidos, estas empresas que no estén registradas como agentes de Bolsa necesitarían que la SEC les emita una carta de no acción o una exención.

El presidente de la SEC, Paul Atkins, ha dicho que la agencia está trabajando en la elaboración de una “exención de innovación” de las leyes de valores que permitiría a los actores del criptoactivo experimentar con nuevos modelos comerciales.

La Federación Mundial de Bolsas (WFE, por sus siglas en inglés), dijo en una carta fechada el 21 de noviembre que una exención podría crear riesgos para la integridad del mercado y socavar las protecciones de los inversionistas.

“La SEC debería evitar otorgar exenciones a empresas que intentan eludir los principios regulatorios que han protegido los mercados por décadas”, dijo el director ejecutivo de la WFE, Nandini Sukumar.

Nuevo enfoque a las criptomonedas

La carta de la WFE, que dijo en agosto que estaba alarmada por las plataformas que ofrecen acciones tokenizadas, no nombró compañías específicas que buscaban alivio.

La tokenización de acciones generalmente implica la creación de tokens criptográficos vinculados a una acción preexistente.

Bajo la presidencia de Donald Trump, la SEC ha revisado su enfoque hacia las criptomonedas, en una victoria para la industria que ha surgido como una importante fuerza de lobby.

La industria financiera en general, incluidos los bancos, están explorando formas de introducir productos y servicios relacionados con las criptomonedas en sus negocios.

La carta de la WFE decía que era “pro-innovación” y se refería a la tokenización como una “evolución natural en los mercados de capitales”. Aun así, su carta es una señal de que la industria financiera convencional está empezando a resistirse a algunas de las expectativas del mundo de las criptomonedas, especialmente a medida que partes del sector empiezan a competir directamente con sus propios negocios.
