Today's Takeaway
Deal value counted this issue is $142.32B, with $191M excluded. On the excluded side only Tower reported actual plant and equipment spending for the period, while eight tenths of the counted side comes from the Marvell (Ticker: MRVL) share exchange that moves no cash. In character this was a day of ownership transfers and financing rather than a day of capacity spending: Marvell and Lumentum do not close until the first half of 2028, while onsemi expects to close Ferric by the end of 2026, a year and a half apart. Anthropic's roughly $895.4B of purchase and lease commitments and Alphabet's full-year capital spending guidance of up to $205B are counted on neither side, yet both dwarf the cash actually committed on the day.
How to use this next time: when a very large deal value appears, ask first what it is paid with. A big share exchange consumes no cash and adds no debt, but it needs shareholder votes and regulatory clearance, so it takes the longest; bonds and equity raises deliver cash, with the cost written into the coupon. Reading the means of payment alongside the timing tells you which money can become server halls next quarter and which has to wait two years.
