Learn how IPO prices are set and why valuation, investor demand, public float, and market expectations can make a new stock surge or fall.

When a company completes an IPO, several prices may appear in the same headline: the offering price, opening price, intraday high, and first-day closing price. If shares are offered at $20 but open at $28, the IPO is described as having “popped.” If the price falls to $17, the stock has broken below its offer price.

These prices do not represent the same thing. The offering price is negotiated before listing by the company and its underwriters. The opening price emerges only after the shares enter the public market and buy and sell orders begin interacting.

The gap between them reflects changing demand, limited share supply, market sentiment, and the assumptions investors are willing to make about the company’s future. An IPO price is therefore not an official answer to what a business is worth. It is a negotiated starting point.

The Offering Price Balances Valuation, Demand, and Competing Interests

Before the listing, the company and its underwriters normally establish an indicative price range. That range may be based on revenue, profit, cash flow, growth expectations, industry conditions, comparable public companies, and the broader market’s appetite for risk.

A mature, profitable business may be assessed using earnings and cash-flow multiples. A young technology company without consistent profits may be valued using revenue, expected margins, and its potential addressable market. There is no single valuation method that works equally well across every industry.

Underwriters then collect indications of interest from institutional investors. Potential buyers specify how many shares they might purchase and the price they would be prepared to pay. This process, commonly known as bookbuilding, helps the company estimate demand before the final offer price is set.

Suppose a company plans to sell 20 million shares at an indicative price of $18 to $22. If investors submit orders for far more than 20 million shares at $22, the company may price the offering near the top of the range. Weak demand could lead to a lower price, fewer shares being issued, or a postponed listing.

The interests involved are not perfectly aligned. The company generally wants a higher price because it can raise more capital. Underwriters, however, must place the available shares with investors. A price that is too aggressive can leave the offering undersubscribed or create a disappointing first day. A conservative price can make the offering easier to sell, but it may also mean that the company raises less money than it could have.

Consider a simplified example. A company has 100 million shares before its IPO and issues another 20 million shares at $20 each. The gross capital raised would be:

20 million shares × $20 = $400 million

After the offering, the company has 120 million shares outstanding. At the $20 offer price, its implied equity value would be:

120 million shares × $20 = $2.4 billion

That does not mean the company received $2.4 billion. Nor does it mean investors collectively paid that amount on listing day. It is an implied valuation calculated by applying the per-share price to the entire share count.

MEXC’s explanation of how share price and shares outstanding create market capitalization makes the same distinction: market value is based on a marginal price, not a pile of cash sitting on the company’s balance sheet.

Investors should also check whether the offering consists of newly issued shares, existing shares sold by early investors, or a combination of both. Proceeds from newly issued shares usually go to the company. Proceeds from shares sold by existing holders go to those shareholders instead. Both may appear in the same IPO, but they have different implications for the business.

A Limited Public Float Can Turn $20 Into $30 Very Quickly

Once public trading begins, a much broader group of investors can submit orders. The opening price is created through this new balance of supply and demand, so it does not have to match the negotiated offering price.

The public float is especially important. A newly listed company might have 120 million shares outstanding, but only the 20 million shares included in the IPO may initially be available for unrestricted trading. Shares held by founders, employees, and early investors may remain subject to lock-up agreements or other restrictions.

If demand is intense while relatively few holders are willing to sell, buyers must raise their bids to attract supply. Even though only a small portion of the company changes hands at $30, that marginal price may be used to value all outstanding shares.

Imagine that buyers want 5 million shares, while only 1 million shares are offered near the current market price. Market orders may consume those sell orders and move through progressively higher price levels. The stock can rise sharply even though the company’s products, revenue, and long-term prospects have not changed overnight.

This is where liquidity matters. High trading volume does not necessarily mean a stock has a deep and stable market. Volume records transactions that have already occurred. Order-book depth shows how many shares are currently available at prices close to the latest quote.

As MEXC’s guide to the difference between trading volume and order-book liquidity explains, a thin order book forces larger orders to reach further across price levels, increasing both slippage and volatility.

An IPO may also be deliberately priced with some room for an initial gain. A modest discount can attract investors, reduce the risk of a failed offering, and compensate participants for accepting the uncertainty surrounding a newly public company.

However, a jump from $20 to $30 does not mean every investor made a 50% return. Only investors who received an allocation at the $20 offer price capture the entire difference. Someone buying after the shares have already reached $30 has a cost basis of $30, regardless of the price shown in the IPO announcement.

An impressive first-day percentage can therefore be misleading for ordinary investors. It describes the return from the offering price, not necessarily the return available to someone entering after public trading begins.

An IPO may fall because the public market decides that the offering price already assumes too much. A company can have a recognizable brand and rapidly growing revenue while still being expensive relative to its profits, cash flow, or realistic long-term growth.

Market conditions can also change between the end of bookbuilding and the first trading session. Higher interest rates, falling valuations among comparable companies, regulatory developments, or a broad decline in risk appetite may cause investors to reject a price they appeared willing to accept only days earlier.

Oversubscription is not a guarantee of post-listing demand. It shows that investors were interested under the terms of the offering. Those same investors may not be willing to buy additional shares at a higher public-market price. Some may have entered specifically to sell after the listing.

Expectations create another complication. Strong revenue growth, a famous founder, or an exciting product may already be reflected in the offer price. Once the stock begins trading, “good news” is not enough by itself. The company must perform better than the expectations embedded in its valuation.

Lock-up expirations can later change the supply picture. SEC investor education materials note that IPO lock-ups have often lasted around 180 days, although the actual period varies and must be checked in the prospectus and relevant agreements.

When restrictions expire, employees, founders, and early investors may become eligible to sell. This does not mean the share price must fall. Strong demand can absorb the additional supply. It does mean that the small float supporting early price action may not remain small indefinitely.

From MEXC’s perspective, the most common mistake is treating early access as proof of a bargain. Pre-IPO exposure, an IPO allocation, public shares, Tokenized Stocks, and Stock Futures can all reference the same company while providing very different rights, pricing mechanisms, and risks.

Investors should first identify what instrument they hold and how it is settled. MEXC’s guide to products before, during, and after an IPO explains why exposure to a company’s valuation is not necessarily ownership of its shares.

A useful IPO analysis compares at least three prices: the valuation implied by the company’s latest private funding round, the IPO offering price, and the price established after public trading begins. A gap between them is not evidence of risk-free profit. It usually means the participants, information, liquidity, and available supply have changed.

FAQ

Does a lower IPO price automatically mean a better opportunity?

No. A lower price may leave more room for appreciation, but it may also reflect weaker demand, slower growth, or greater business risk. Investors should consider the post-IPO share count, implied valuation, financial performance, and comparable companies.

Why can an oversubscribed IPO still fall after listing?

Oversubscription measures interest under the offering’s original terms. It does not prove that investors will continue buying at a higher market price. Profit-taking, allocation practices, and changing market conditions can all push the stock below its offer price.

Does a strong first day indicate long-term investment quality?

Not necessarily. First-day performance can be driven by a limited float, media attention, and an imbalance between buy and sell orders. Long-term performance depends more heavily on revenue, margins, cash flow, competitive strength, and valuation.

Why are the offering price and opening price different?

The company and its underwriters set the offering price before listing. The opening price is determined by public-market orders once trading begins.

Does a lock-up expiration always cause the stock to fall?

No. It increases the number of shares that could potentially be sold, but the outcome depends on whether insiders actually sell, whether market demand absorbs the supply, and how the company is performing at the time.
